Pólizas Directors and Officers como mediadoras entre la responsabilidad social empresarial y la erradicación de los conflictos legales

SUMMARY

Los conflictos legales se originan en las empresas en el desarrollo de sus actividades, por no adecuarse al ordenamiento jurídico tanto nacional como internacional, generando la imposición de sanciones de tipo pecuniario, que impactan las finanzas de la organización. Evitar conflictos, es parte de la labor de los directivos. Por su parte, la responsabilidad social empresarial obliga a las empresas, más allá de lo que exige la ley y la economía. Este artículo analiza los riesgos legales de las empresas ecuatorianas, proponiendo las pólizas D&O, como una posible solución a dichos riesgos, y por exigir estas pólizas el programa de compliance, para ser contratadas, obligan a la empresa a tomar un plan de gestión basado en la responsabilidad social empresarial.Palabras clave: Sanciones legales, empresa, póliza D&O, responsabilidad social empresarial. ABSTRACTThe legal conflicts originate in the companies in the development of their activities, for not complying with the national and international legal system, generating the imposition of pecuniary-type sanctions, which impact the finances of the organization. Avoiding conflicts is part of the work of managers. For its part, corporate social responsibility obliges companies, beyond what is required by law and the economy. This article analyzes the legal risks of Ecuadorian companies, proposing D&O policies, as a possible solution to these risks, and because these policies require the compliance program, to be contracted, they force the company to take a management plan based on corporate social responsibility.Keywords: Legal sanctions, company, D&O policy, corporate social responsibility.
