O CONTRATO DE FACTORING E A CLÁUSULA DE REGRESSO: A LEI DA LIBERDADE ECONÔMICA SERÁ SUFICIENTE PARA REVER O ATUAL POSICIONAMENTO JURISPRUDENCIAL?

SUMMARY

RESUMOObjetivos: o contrato de factoring há muito sofre forte intervenção judicial, afastando a possibilidade de aplicação de texto expresso da lei, art. 296, do Código Civil, de modo a invalidar as disposições contratuais que pactuam o regresso da faturizadora em face do faturizado, mesmo quando expressamente contratada essa previsão, nos moldes da cessão pro solvendo. O presente estudo busca investigar se há espaço para a revisão do posicionamento jurisprudencial atual, de modo a conferir segurança jurídica nas relações mantidas no âmbito do fomento mercantil. Indaga-se se a resistência judicial à cláusula de regresso nos contratos de factoring mostra-se compatível com o Direito Empresarial e com a letra da lei.  Metodologia: a presente pesquisa utiliza-se do método hipotético-indutivo, mediante a revisão de doutrina, legislação e jurisprudência, por meio de leitura de obras, artigos científicos, a legislação constitucional e infraconstitucional e decisões judiciais sobre a problemática proposta.Resultados: verifica-se do estudo que a pactuação de cláusula de regresso nada mais é do que distribuir e alocar os riscos do negócio de forma antecipada e consensual entre as partes, cuja conduta atualmente encontra expressa proteção na redação do inciso II, do art. 421-A, do Código Civil. Da mesma forma, a diligente redação de contrato empresarial pode e deve declarar como condição essencial ao negócio realizado entre as partes a pactuação do direito de regresso, tanto para a quantificação dos custos contratuais, quanto para a própria aceitação do negócio pela faturizadora. Espera-se resultados positivos no médio e longo prazos da nova redação legal. A sinalização legislativa decorrente da Lei da Liberdade Econômica, cujo escopo declaradamente privilegia a livre iniciativa e a liberdade contratual, limitando o campo de intervenção estatal, deverá provocar revisão da posição jurisprudencial atual, de modo a não mais ser recusada a validade da cláusula de regresso expressamente pactuada nos contratos de fomento mercantil firmados a partir de 20 de setembro de 2019.Contribuições:  o presente estudo traz ao debate o instituto do factoring, com um instrumento contratual lícito, muito utilizado no meio empresarial, bem como os efeitos positivos que a Lei da Liberdade Econômica trará ao mundo empresarial ao reafirmar o respeito às cláusulas contratuais que definem a alocação dos riscos contratuais.Palavras-chave: Factoring. Contratos Empresariais. ABSTRACTObjectives: The factoring contract has long undergone strong judicial intervention, ruling out the possibility of applying the express text of the law, article 296 of the Civil Code, in order to invalidate the contractual provisions that agree on the claim  of the biller against  the invoiced, even when expressly contracted , along the lines of the pro-solvendo assignment.  This study seeks to investigate whether there is room for a review of the current jurisprudential position, in order to provide legal certainty in the relationships maintained within the scope of promotion of commercial activities. It is asked whether athe judicial resistance to the claim clause in factoring contracts prove to be compatible with Corporate Law and the letter of the law.Methodology: the present research uses the hypothetical-inductive method, through the review of doctrine, legislation and jurisprudence, by way of reading books, scientific articles, constitutional and infra-constitutional legislation and judicial decisions on the proposed problem.Results:  the claim clause agreement is nothing more than distributing and allocating the business risks in an anticipated and consensual way among the parties, whose conduct currently has express protection in the wording of item II, of article 421-A, of the Civil Code. Likewise, the diligent writing of a business contract can and must declare as an essential condition for the business carried out between the parties the agreement of the right of claim, both for the quantification of contractual costs and for the acceptance of the business by the biller. Positive results are expected in the medium and long terms of the new legal wording. The legislative signaling resulting from the Economic Freedom Law, which scope declaredly privileges free initiative and contractual freedom, limiting the field of state intervention, should provoke a revision of the current jurisprudential position, so that the validity of the claim clause is no longer refused expressly agreed in the commercial development contracts signed as of September 20, 2019.Contributions: this study brings the debate of the factoring institute, with a legal contractual instrument, widely used in the business environment, as well as the positive effects that the Law of Economic Freedom will bring to the business world by reaffirming respect for contractual clauses that define the allocation of contractual risks.Keywords: Factoring.
